EVERTEC's proxy statement for its 2026 annual meeting, filed April 7, 2026, names two directors on cybersecurity grounds: Olga Botero and Kelly Barrett.

Of Botero, the filing says "her experience, expertise in cybersecurity and technology, and knowledge of Latin American markets are an asset to the Company." It credits her background in IT and cybersecurity consulting: she founded C&S Customer and Strategy, a firm supporting IT, digital and cybersecurity management for Latin American companies, and co-founded Seccuri, Inc. The proxy also has her chairing the board's Information Technology Committee, which oversees cybersecurity risk.

Of Barrett, the filing states she "has a Cybersecurity Certificate from the National Association of Corporate Directors (NACD)," in addition to being a Certified Public Accountant and NACD Directorship Certified.

No SEC rule requires this kind of disclosure: a 2022 proposal to add Item 407(j) of Regulation S-K, which would have required every company to state whether a director has cybersecurity expertise, was dropped from the SEC's final 2023 cybersecurity-disclosure rule. EVERTEC names Botero's and Barrett's credentials voluntarily. See the board cybersecurity-expertise record for other companies making the same voluntary disclosure, with no comparison or ranking implied.
