Minerals Technologies Inc.'s proxy statement for its 2026 annual meeting, filed April 2, 2026, names one director with cybersecurity expertise: Rocky Motwani, a director since 2022 and a member of the audit and compensation committees.

The filing's "Key Qualifications and Experience" section for Motwani lists a dedicated "Cyber Experience" line: he has served as Chief Executive Officer of Cyphlens, which the filing describes as "a cybersecurity company," since January 2022, and the filing separately states he is "a Board-certified cybersecurity expert."

Before Cyphlens, Motwani co-founded Jiko Group, a technology-based bank holding company, where he served as CFO and a board member from July 2015 to December 2021, and sat on the board of Mid-Central National Bank from 2020 to 2021. Earlier, he spent nine years at J.P. Morgan, rising to Managing Director in its Transaction Services franchise and co-leading the technology modernization and automation of the firm's global corporate FX payments business; he began his career at Jones Lang LaSalle and later moved to McKinsey & Company's Silicon Valley technology practice.

Unlike most companies on this record, where the cybersecurity-expertise designation rests on a director's past operating or technical role, Minerals Technologies' basis is Motwani's current, ongoing job running a cybersecurity company, paired with a named professional certification rather than a prior career stint.

Nothing in SEC rules forces a company to spell out a director's cybersecurity credentials this way; regulators floated a mandatory version, Item 407(j) of Regulation S-K, in 2022 and dropped it from the 2023 cybersecurity-disclosure rule that did pass. Minerals Technologies chose to disclose Motwani's background regardless. The board cybersecurity-expertise record tracks every company making that same voluntary choice, without ranking or comparing them.
