Board cybersecurity-expertise record
N-able: two directors named with cybersecurity expertise
N-able's 2025 proxy names directors Ann Johnson, a Microsoft security executive, and Cam McMartin as qualifying the board on cybersecurity.
N-able's proxy statement for its 2025 annual meeting, filed April 11, 2025, names two directors whose cybersecurity background the board says qualifies them to serve: Ann Johnson and Cam McMartin.
Of Johnson, the proxy states: "Our Board believes that Ms. Johnson's industry experience and cybersecurity expertise qualify her to serve as a director." Her biography, per the filing, includes serving as Corporate Vice President of Security Business Development at Microsoft since 2018, after leading enterprise cybersecurity roles there from 2015 to 2018, where she has overseen investment and partner strategy for Microsoft's security, compliance and identity business.
Of McMartin, the board says his "financial and cybersecurity expertise," together with his industry experience, qualify him to serve as a director. The filing does not detail how he developed that cybersecurity background, unlike Johnson's Microsoft security career.
No SEC rule requires a company to identify which director has cybersecurity expertise: the SEC proposed such a requirement (Item 407(j) of Regulation S-K) in 2022, then dropped it from its final 2023 cybersecurity-disclosure rule. N-able's proxy makes this statement voluntarily. See the board cybersecurity-expertise record for other companies doing the same, with no comparison or ranking implied.
